TERMS & CONDITIONS OF SALE AND PURCHASE
BETWEEN: Hilknightly India Pvt Liimited (the “Seller”), a corporation organized. GST ID 07AADCB5119M1ZL, with its head office located at:
Vino Barzzoni, 372-374 Level 1, MG Road, Sultanpur, New Delhi 110030
AND: Online Buyer / Order (the “Buyer”), with their address as per purchase information entered.
- SALE OF GOODS
Seller shall sell, transfer and deliver to buyer after complete payment receipt for the goods sold as per order.
- CONSIDERATION
Buyer shall accept the goods and pay the sum as invoiced for the goods. We promise to provide prompt and efficient service and delivery of order.
- IDENTIFICATION OF GOODS
As per information and specification of the order, comprising of order kit as informed on product page. Product is sold per unit as received from manufacturer. Accessories as glasses, bottles present in photography is not a part of sale. Where a product is shown in different angles in one image does not constitute as two products in a package.
- PAYMENT ON RECEIPT
Buyer shall make payment for the goods at the time when, and at the place when, the goods are purchased and ordered.
- SHIPPING POLICY
General are ex works collect. Customer on ordering delegates their responsibility to Seller for shipping goods using third party well known logistics company. For custom orders or import, liability if in occurrence such as delay of shipment out of our control shall not cancel the order. We Cellars Divine plans well time timely deliveries because our partners are highly reliable with dates. Custom Orders provide exact dates, while when Back Orders are opted for In-Stock products, buyer accepts custom timeline based on new lot availability, surely reserved on priority for them. Back Order timeline is different from In-Stock,
Stock Order Shipping: Shall be within 48-72 hours (excl weekend and holidays) as transaction + 3 days. It will be done using first class courier only such as Fedex, Delhivery, Xpressbees or other as qualified by consolidator as Shiprocket and iThink Logistics. We can ship using Blue Dart on customer demand with additional charges as applicable, for expedited.
5b. FORCE MAJEURE
The buyer in remote case of delay due to conditions outside seller’s purview, shall offer additional time in case of orders above Rs. 75,000/-, in case of a direct import (non-stock) order. Delay due to Pandemic, Air/ Ship route delays or cancellation of voyage; customs delay or examination, closing on national borders, natural calamity and arising out of such.
- RISK OF LOSS & SAFETY
The risk of loss from any casualty to the goods, regardless of the cause, shall be on seller until the goods have been delivered to buyer. The seller shall assume insurance to safeguard the order. The buyer shall not refuse accepting the order, for which a return will cause additional fees payable to proceed with new shipment.
- WARRANTY OF NO ENCUMBRANCES
Seller warrants that the goods are now free, and that at the time of delivery shall be free from any security interest or other lien or encumbrance.
- WARRANTY OF TITLE
Furthermore, seller warrants that at the time of signing this agreement seller neither knows, nor has reason to know, of the existence of any outstanding title or claim of title hostile to the rights of seller in the goods.
- RIGHT OF INSPECTION
Buyer shall have the right to inspect the goods on arrival and, within 7 business days after delivery, buyer must give notice to seller of any claim for damages on account of condition, quality or grade of the goods, and buyer must specify the basis of the claim of buyer in detail. The failure of buyer to comply with these conditions shall constitute irrevocable acceptance of the goods by buyer.
The parties have executed this agreement covered under jurisdiction of selling state, as on date of order.

POLICY OF RETURN, CANCELLATION AND REFUND
- Cancellation of order is available within 48 hours of placement with full refund. Post 48 hours to 7 working days, orders in stock sold shall carry a deduction above 15% based on costs incurred, damage to packaging in transit. Cancellation is not available for order post 7 working days.
- Return is accepted for replacement where goods are found to be damaged (goods not packaging) on delivery, when issued within 48 hours of delivery. Refund in return shall be estimated by Seller if applicable, with relevant deductions.
PRIVACY POLICY
We carry a clear privacy policy of safety of your data to remain in our own possession, never handed to anyone or sold to third party. Your data may be used to provide seller with product relevant information or reminder for services or financial obligations.
Seller partial data is shared with transaction agency in automation while processing your order, which is a secured network.
Your essential and secure (non public) data is never published on any external site or post, unless your written approval is available.
